1 Acceptance of Terms
By creating an account, onboarding via WhatsApp or Telegram, connecting a bot token, or using the BizBot software platform (bizzbot.tech), you agree to be bound by these Terms of Service.
If you represent a business entity, you warrant that you possess the legal authority to bind that business to this agreement. If you do not agree to all terms, you must not use the Platform.
2 Nature of the Service
BizBot provides an automated Software-as-a-Service (SaaS) platform designed to enable merchants to:
- Publish dynamic product catalogs across WhatsApp and Telegram.
- Automate customer cart management, item selection, and delivery calculations.
- Route payments via licensed third-party gateways (Paystack and Flutterwave) directly to merchant Mobile Money or bank accounts.
- Receive automated sales telemetry, stock alerts, and merchant analytics.
3 Platform Role Disclaimer (Crucial Shield)
1. Seller Independence: Each merchant operates their own independent business. All sales contracts, pricing agreements, product quality representations, and fulfillment promises are executed strictly between the Merchant and the Customer.
2. No Product Responsibility: BizBot has no control over, does not inspect, and disclaims all liability for the quality, safety, legality, freshness, or availability of products listed by merchants.
3. No Courier / Fulfillment Liability: BizBot does not dispatch drivers or perform physical deliveries. Any delivery fees, rider delays, lost packages, or route issues remain the exclusive responsibility of the merchant.
4 Merchant Warranties & Anti-Spam Obligations
Every merchant using BizBot represents, warrants, and covenants that:
- Lawful Consent for Messaging: The merchant will strictly comply with the Meta WhatsApp Business Messaging Policy. The merchant warrants that all customers contacted via outbound broadcasts have explicitly opted in to receive communications.
- Anti-Spam Guarantee: The merchant will not send unsolicited spam, bulk marketing to unverified numbers, or harass customers. Accounts receiving high spam block rates on WhatsApp or Telegram will be terminated without refund.
- Data Protection Compliance: The merchant complies with the Ghana Data Protection Act, 2012 (Act 843) and treats customer phone numbers and delivery addresses as strictly confidential.
- Accurate Product Representations: All catalog prices, descriptions, and stock quantities are true, accurate, and up to date.
5 Subscriptions, Fees & Payment Processing
- SaaS Subscriptions: Merchant plans (Starter, Basic, Growth, Pro) are billed in advance on a recurring monthly cycle. New stores receive a 14-day free trial. If a subscription is not renewed upon expiration, automated store ordering may be suspended.
- Payment Processing: Customer payments are processed via licensed gateways (Paystack / Flutterwave). Payout settlements are routed according to gateway subaccount split rules. BizBot is not a bank or depository institution.
- Chargebacks & Customer Disputes: The merchant is solely liable for chargebacks, customer refunds, unauthorized payment claims, and associated gateway dispute fees.
6 Prohibited Goods & Conduct
Merchants may NOT use the platform to market or sell:
- Weapons, explosives, ammunition, or fireworks.
- Illegal narcotics, controlled substances, or drug paraphernalia.
- Unauthorized pharmaceuticals or regulated medical equipment.
- Counterfeit currency, forged documents, or stolen property.
- Adult services, pornographic material, or human body parts.
- Pyramid schemes, multi-level marketing, or fraudulent investment services.
7 Intellectual Property & Content License
BizBot IP: The platform software, algorithms, conversational engines, logos, and UI designs are the exclusive property of BizBot.
Merchant Content: The merchant retains full ownership of their uploaded product images, descriptions, and trademarks. The merchant grants BizBot a non-exclusive license to host and transmit this content to shoppers via WhatsApp, Telegram, and Web storefronts.
8 Limitation of Liability (Maximum Liability Cap)
1. Disclaimer of Warranties: THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BIZBOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
2. Consequential Damages Waiver: UNDER NO CIRCUMSTANCES SHALL BIZBOT, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, LOST SALES, DATA LOSS, OR REPUTATIONAL DAMAGE ARISING OUT OF PLATFORM DOWNTIME, THIRD-PARTY API OUTAGES (INCLUDING META OR TELEGRAM OUTAGES), OR PAYMENT GATEWAY DELAYS.
3. Monetary Liability Cap: IN NO EVENT SHALL BIZBOT’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE MERCHANT TO BIZBOT IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9 Indemnification (Protecting BizBot)
The Merchant agrees to defend, indemnify, and hold harmless BizBot, its officers, affiliates, and technical partners against any claims, damages, liabilities, regulatory fines, losses, or legal expenses (including attorney fees) arising from:
- The merchant's breach of these Terms or applicable privacy and data protection laws.
- Any claim or dispute between the merchant and their end-customers regarding product defects, food safety, delivery delays, or fraud.
- The merchant sending unsolicited commercial messages in violation of Meta WhatsApp policies.
- Infringement of third-party intellectual property rights by merchant catalog listings.
10 Account Deletion, Termination & Data Purge
Merchant Account Closure & Deletion Rights: Merchants may permanently delete their business workspace and personal account at any time via Settings > Danger Zone > Delete Workspace. To prevent accidental termination, the merchant must confirm their password and type DELETE.
Immediate Consequences of Deletion: Upon confirming account deletion:
- All active Paystack, Flutterwave, or Mobile Money recurring subscriptions are terminated immediately.
- Connected WhatsApp Cloud API and Telegram bot webhooks are disconnected and invalidated.
- Product listings, images, variant definitions, categories, and active cart sessions are wiped from active operational storage.
- The merchant's unique web store slug is deactivated and released.
- If the merchant has no other active workspaces, their user profile and API tokens are decommissioned.
Statutory Accounting & Audit Exceptions (Act 843): In compliance with the Ghana Data Protection Act 2012 (Act 843) and commercial tax laws, completed transaction receipts, payment references, and tax invoices are retained in read-only archive format for statutory audit periods (up to 6 years) and cannot be unilaterally erased prior to statutory expiration.
Suspension by BizBot: BizBot reserves the right to immediately suspend or terminate any merchant account without prior notice if we reasonably believe the merchant has engaged in fraud, violated anti-spam rules, infringed intellectual property, or generated excessive customer complaints.
11 Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to this contract shall be submitted to mediation in Accra, Ghana. If mediation fails, disputes shall be finally resolved through arbitration in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana.
